All applicable taxes will be imposed following actuals.
“Employee” is used in this paragraph. For this paragraph, “employee” refers to present employees and those who were employed previous to the project in question.
Digital Thinkhub agrees not to solicit or induce any Employee of Client to terminate their employment with the client or to hire any Employee of Client without the prior written approval of the client, (ii) Client agrees not to solicit or induce any Employee of Digital Thinkhub to terminate their employment with Digital Thinkhub or hire any Employee of Digital Thinkhub without the prior written approval of Digital Thinkhub.
All files produced, developed, or designed by Digital Thinkhub throughout working on this project maintain the copyrights or ownership of the source code/design. The project rights and source code/design ownership will be given to the client after the final payment is received.
This contract was entered into in New Delhi, India, and any dispute will be litigated or arbitrated in New Delhi, India, regardless of the venue.
The Agreement outlined in this “Proposal” is the exclusive Agreement between Digital Thinkhub and the Client and its owners.
Any additional work not indicated in the proposal will be estimated separately, or the proposal will need to be amended.
The customer is responsible for all photos, writing, and material. If the client does not provide the photographs, the client grants us the implied right to utilize images from the internet. Digital Thinkhub will make every effort to use royalty-free photos, but the client must ensure that he has reviewed and consented to the work delivered.
If he feels or discovers something that does not belong to him, he will contact Digital Thinkhub right away to get it changed. Digital Thinkhub does not assume responsibility for any copyright infringement, trademark infringement, performance/damages, or other legal liability coming from any reason after the work has been delivered. It is in the client’s best interest to give photographs and text/other content only at the time of contract and ensure that work is completed according to his Agreement.
If the fees paid by the client are tax deductible at source, the TDS certificate must be presented to Digital Thinkhub at the time of payment. Any applicable taxes and other government levies are not included in the Professional fees. The client shall be responsible for any such taxes and levies, whether retroactive or not.
If the client cancels the project during the development of the website, the initial money will not be reimbursed. The sum paid in the event of a legal proceeding will not exceed the price invoiced to the client.
